Terms and Conditions of Sale

1. Purpose and scope

These Terms and Conditions of Sale (the “Terms”) govern the use of the services offered by Lirenprism (“Lirenprism”, “we”) via the lirenprism.com website and the app.lirenprism.com application.

The service consists of measuring the visibility of brands, markets and products in the responses of artificial intelligences, delivered as dated and sealed reports (the “Service” or “mAIr”).

These Terms are intended exclusively for professionals. By subscribing to the Service, the client declares that it acts in the course of its professional, commercial, craft or self-employed activity, and not as a consumer. The Service is not intended for consumers within the meaning of the French Consumer Code.

Use of the Service implies full and unreserved acceptance of these Terms.

2. Role of Paddle (Merchant of Record)

Payment processing, invoicing and the collection of applicable taxes are handled by Paddle.com Market Limited (“Paddle”), acting as Merchant of Record for transactions made on the Service.

This means that, from the standpoint of the payment transaction:

• Paddle is the legal seller towards the client for the purchase;
• Paddle issues the invoice, collects the payment and appears on the client’s bank statement;
• Paddle calculates, collects and remits VAT, GST, sales taxes and other applicable local taxes, in the relevant jurisdictions;
• Paddle handles refunds and payment disputes (chargebacks) in accordance with its own terms.

Paddle’s payment terms are available on the Paddle website and apply to the transactional part of the purchase. Lirenprism remains the provider of the Service: it designs, produces and delivers the mAIr measurements, handles the client relationship and support, and remains bound to the client by these Terms for everything concerning the use of the Service.

3. Description of the Service

The Service is billed in mAIr, the platform’s unit of measure. 1 mAIr corresponds to 1 scan, i.e. 1 question put to 1 artificial intelligence. The number of mAIr required for a measurement is shown to the client before any order.

Each measurement gives rise to a dated report, cryptographically sealed (HMAC-SHA256) and publicly verifiable. The measurement is automatically repeated (n=20 per configuration) and the scores are computed mechanically.

Lirenprism measures and restitutes facts; it makes no recommendation and passes no judgement on the truthfulness of AI responses. Use of the reports is the client’s sole responsibility.

4. Ordering and payment

The client composes their measurement, sees its cost in mAIr and the corresponding price, then confirms the order. Payment is made via Paddle at the time of the order.

Two purchase models are offered:

4.1 Prepaid credits. The client may buy mAIr in batches, paid in advance. Prices are degressive by volume and shown before purchase.

4.2 Monthly subscription. The client may take out a monthly subscription granting a volume of mAIr per period, together with the benefits described in article 6. The subscription is without any minimum commitment period. It renews automatically each month, by direct debit via Paddle, until cancelled by the client.

5. Retention and accumulation of mAIr

mAIr purchased or included in a subscription and not consumed are not lost at the end of the period: they accumulate over time.

Accumulated mAIr are retained for as long as the client’s account exists. Closing the account, at the client’s initiative or under the conditions of article 9, results in the loss of unconsumed mAIr.

6. Benefits tied to an active subscription

As long as the subscription is active, the client enjoys reserved benefits, including:

• access to sources in the reports (the sourcing of the AI responses);
• for agencies: access to white-label partner mode, allowing them to deliver reports personalised under their own brand.

Lirenprism may also grant subscribers loyalty gestures, in particular the allocation of additional mAIr after several months of subscription. These commercial gestures are granted at Lirenprism’s discretion, which may change their conditions or terms at any time.

7. Cancellation of the subscription

The client may cancel their subscription at any time, without notice or penalty, from their client area or via the Paddle management portal. Cancellation takes effect at the end of the current monthly period already paid; no further debit occurs thereafter.

In the event of cancellation:

• the client keeps their accumulated mAIr and may continue to use them, under the conditions of article 5;
• the client loses the benefits reserved for subscribers described in article 6: reports issued after cancellation no longer include access to sources, and an agency loses access to white-label partner mode.

8. Right of withdrawal

The Service is digital content supplied immediately after the order, whose performance begins as soon as payment is confirmed.

The client, acting as a professional, expressly waives any right of withdrawal once performance of the Service has begun. This waiver is accepted at the time of the order.

9. Term, suspension and account closure

The account is opened for an indefinite term. Lirenprism reserves the right to suspend or close an account in the event of breach of these Terms, fraudulent use, or default of payment reported by Paddle. Where possible, the client is informed beforehand.

10. Availability and lead times

Reports are generally delivered within a few minutes, depending on the complexity of the measurement (number of questions and AIs). This lead time depends on the proper functioning of the AI providers, over which Lirenprism has no control. A temporary unavailability of an AI provider cannot engage Lirenprism’s liability.

11. Liability

Lirenprism provides a neutral, dated and sealed measurement. It guarantees no commercial outcome, no improvement in visibility, nor the accuracy of the responses provided by the artificial intelligences, which it merely measures.

Lirenprism’s liability cannot be engaged for decisions taken by the client on the basis of the reports, nor for changes in AI responses over time.

In any event, and to the extent permitted by law, Lirenprism’s liability under the Service is limited to the amount paid by the client for the measurement concerned.

12. Confidentiality and data

Lirenprism does not disclose any information about its clients’ searches and does not use client data to train or feed its system. The processing of personal data is described in the Privacy Policy.

13. Ownership of the reports

The measurement reports and the data they contain belong to the client who ordered them. The client is free to use them with its artificial intelligence, its agency or its teams. Lirenprism retains ownership of the methodology, the platform and the elements described in the legal notice.

14. Changes to the Terms

Lirenprism may amend these Terms at any time. The applicable version is the one in force on the date of the order. Changes are brought to the client’s attention by publication on the site.

15. Applicable law and disputes

These Terms are governed by French law. Failing an amicable resolution, and in compliance with the rules applicable between professionals, any dispute relating to the use of the Service falls within the jurisdiction of the French courts.

Questions relating to payment, invoicing or refunds fall to Paddle, in its capacity as Merchant of Record, and to its own terms.
